Employer Terms of Service

1. Agreement
These Terms of Service (“Terms”) form a binding agreement between Compuways (Pty) Ltd (“Compuways”, “we”, “us”) and the employer or company registering on the Compuways platform at www.compuways.co.za (“Employer”, “you”). By completing registration and accepting these Terms, you agree to be bound by them.
These Terms must be read together with our Privacy Policy.
2. Services Provided
Compuways provides specialist IT recruitment services, including:
- Access to a database of active IT professional candidate profiles
- Presentation of suitable candidate profiles for your specified vacancies
- Facilitation of candidate applications for your job listings
- Recruiter-assisted matching and shortlisting
The scope of services for each vacancy will be agreed between you and your designated Compuways recruiter.
3. Employer Registration
3.1 You must provide accurate and complete company information during registration.
3.2 The person completing registration warrants that they are duly authorised to bind the company to these Terms.
3.3 Your account must be approved by a Compuways recruiter before full access is granted to candidate profiles.
3.4 You are responsible for maintaining the confidentiality of your login credentials.
4. Placement Fees
4.1 Permanent Placements
A placement fee becomes payable when a candidate introduced to you by Compuways accepts and commences permanent employment with your company. The fee is calculated as a percentage of the candidate's agreed annual cost-to-company (CTC), as quoted per vacancy by your Compuways recruiter.
4.2 Contract / Fixed-Term Placements
For contract placements, fees are calculated on the agreed monthly contract rate or as a fixed placement fee, as agreed per assignment.
4.3 Payment Terms
Invoices are payable within 30 days of the invoice date. Late payments may attract interest at the rate prescribed under the Prescribed Rate of Interest Act.
4.4 Guarantee Period
If a permanently placed candidate resigns or is dismissed for reasons unrelated to performance within 90 days of commencing employment, Compuways will offer a replacement candidate free of charge. No cash refund will be provided.
4.5 Re-introduction
The placement fee is payable even if you have previously been introduced to the candidate through another channel. Compuways' fee applies to any hire within 12 months of the candidate's introduction to your company through our platform.
5. Candidate Data — POPIA Obligations
As an employer who receives candidate profile data from Compuways, you are an Operator under POPIA. You agree to:
- Process candidate personal information only for the specific vacancy for which it was shared
- Not retain, copy, or distribute candidate CVs beyond the duration of the active recruitment process
- Not pass candidate information to any third party without the candidate's written consent
- Implement appropriate security measures to protect candidate data
- Delete or return candidate data upon request or on conclusion of the recruitment process
- Notify Compuways of any data breach involving candidate information without delay
Failure to comply with these obligations may result in suspension of your account and may constitute a breach of POPIA for which you bear personal liability.
6. Prohibited Conduct
You agree not to:
- Approach or engage candidates introduced by Compuways through any channel other than Compuways without prior written agreement
- Circumvent Compuways to hire a candidate who was introduced to you via the platform
- Post false, misleading, or discriminatory job listings
- Use the platform to harvest candidate data for purposes other than immediate recruitment
- Share your login credentials with third parties
- Use the platform in any manner that violates applicable law
7. Job Listings
7.1 Job listings must accurately describe the role, requirements, and employment type.
7.2 Listings that are discriminatory (on the basis of race, gender, disability, religion, or other protected characteristics) are prohibited.
7.3 Compuways reserves the right to refuse, edit, or remove any listing that does not comply with these Terms or applicable law.
7.4 You must notify Compuways promptly when a vacancy has been filled so that the listing can be deactivated.
8. Intellectual Property
All content on the Compuways platform, excluding candidate data, is proprietary to Compuways and may not be reproduced without written consent.
9. Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of the recruitment relationship, including fee structures, candidate shortlists, and business information.
10. Limitation of Liability
10.1 Compuways acts as an intermediary only. We do not guarantee that any candidate will be suitable for employment, pass reference checks, or remain in employment for any minimum period.
10.2 Compuways' liability to you in connection with any placement shall not exceed the placement fee paid for that specific placement.
10.3 Nothing in these Terms excludes liability for fraud, wilful misconduct, or gross negligence.
11. Termination
11.1 Either party may terminate the service relationship by giving 30 days' written notice.
11.2 Termination does not affect any fees that have accrued prior to the termination date.
11.3 Compuways may suspend or terminate your account immediately for breach of these Terms.
12. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Disputes shall be referred to the South Gauteng High Court or such other court as has jurisdiction.
13. Amendments
Compuways may amend these Terms from time to time by providing notice to your registered email address. Continued use of the platform after such notice constitutes acceptance.
